Position Summary
Under general supervision and according to established policies and
procedures supplies legal/broad support to the firm's attorneys and
their clients. Must be familiar with and observe the firm's
established policies and guidelines. Must maintain positive contact
with attorneys (both the firm's and outside counsel), support
staff, clients, and vendors. Observes confidentiality of client and
firm matters. This position is not limited to the functions and

Job Duties and Responsibilities
Experience in analyzing and negotiating title reports, surveys,
zoning certificates and other due diligence documents for loans
secured by commercial real estate.
Experience in managing and organizing closings for loans secured by
commercial real estate .
Experience in organizing and dealing with multi-state commercial
loan transactions, including preparation of signature pages and
escrow deliveries in advance of closing.
Perform necessary follow-ups for all post-closing matters,
including custodial deliveries, finalizing of closing binders,
receipt and review of final title insurance policies, recorded
documents, and original documents;
Experience in analyzing and negotiating entity organizational
documents, corporate certificates, consents, and resolutions.
Coordinate recordation of mortgages, amendments, deeds, easements
and other recordable instruments.
Review, prepare and file UCC financing statements and UCC
terminations/amendments.
Ability to access and search land records;
Experience in drafting closing documents such as Loan Agreements,
Notes, Mortgages, Guaranties, Loan Modification Documents,
including Forbearance Agreements, Affidavits, Certificates, Deeds
and Commitment Letters.
Experience in preparing closing checklists;
Preparation and review of settlement statements;
Highly motivated and a self-starter;
Ability to interact well with attorneys, staff and clients;
Excellent organizational, writing, and proofreading skills; and
ability to track and meet deadlines.

Requirements
Education: Undergraduate degree and paralegal certificate required;
will consider candidate with comparable relevant experience in lieu
of a paralegal certificate.
Experience: Paralegal with at least 5-7 years of commercial real
estate legal experience needed.
Skills: Excellent verbal and written communication skills as well
as the ability to collaborate with individuals at all
organizational levels. Ability to organize and prioritize issues
and workload. The ability to work on projects independently or with
little supervision. Flexibility and ability to adapt to constantly
changing priorities. Exercising independent judgment and
initiative.

Equipment To Be Used: Personal computer and other office equipment
such as telephone, calculator, fax, machine, copier, scanner,
etc.
Essential Job Functions: Physical demands commensurate with job
duties.
Working Conditions: You will be required to work in the office at
minimum 3 days per week. Occasionally called upon to work hours in
excess of your normal daily schedule. The details of your weekly
schedule will be discussed further with your direct supervisor.
Pay Ranges: This represents the presently-anticipated low and high
end of Reed Smith's pay range for this position. Actual pay may
vary based on various factors, including but not limited to
location and experience.
New York: $44 - $62 per hour.
